A sole proprietor is an individual who owns a business without forming a separate legal entity. What about directors and officers coverage?
Directors and officers coverage responds to claims against directors and officers for wrongful acts in a management capacity, such as breach of fiduciary duty. A sole proprietorship has no board and no officers, so it is rarely the right instrument. It becomes relevant if the business incorporates or the owner joins a nonprofit board.
